With over a decade of industry leadership and strategic investment from KKR and EIG, Avantus delivers affordable, reliable clean energy solutions that meet America’s growing energy demand. ESSENTIAL FUNCTIONS AND RESPONSIBILITIES <ul><li>Manage and/or assist with legal support on a variety of development projects and supervise outside counsel as directed. This includes negotiating and advising on EPC and procurement agreements, power purchase agreements (PPAs) LGIAs, and other interconnection-related documents, as well as matters involving FERC and CAISO.</li><li>Provide legal support project finance and M&amp;A transactions, including joint ventures, tax equity structures, and other strategic partnerships. </li><li>Review, draft and negotiate transaction documents such as asset purchase agreements, project finance documents, and membership interest purchase agreements.</li><li>Structure, draft, review and effectively negotiate power purchase agreements, interconnection agreements, EPC agreements, services agreements, and other solar and storage project related agreements.</li><li>Structure, draft, review and effectively negotiate debt and equity financing structures, including portfolio financing structures, back-leverage debt, tax equity partnership documents.</li><li>Coordinate efforts with other internal teams, including development, M&amp;A, finance, real estate, tax, environmental, permitting and regulatory.</li><li>Perform diligence and provide diligence guidance on project acquisitions and greenfield development opportunities.</li><li>Provide general legal support across the organization.</li><li>Effectively and efficiently outside counsel.</li><li>All other duties as assigned by the General Counsel. </li></ul> REQUIRED SKILLS AND QUALIFICATIONS<ul><li>Juris Doctor degree from an ABA accredited law school. </li><li>Admitted to applicable state bar.</li><li>Minimum 8 years of experience with commercial transactions, construction, and/or financing for solar, storage, wind or other renewable energy related experience required.</li><li>Ability to work closely with cross-functional teams of internal and external resources.</li><li>Excellent leadership, communication, organizational, and negotiation skills.</li><li>High level of integrity with the ability to cultivate and maintain positive relationships.</li><li>An entrepreneurial attitude and work ethic with a desire to roll up your sleeves and get the job done in a fast-paced environment and rapidly growing business.</li><li>Willingness to be flexible about your work schedule to support closings and to meet deadlines and shifting demands and priorities.</li><li>Willingness to travel as required. </li></ul> #LI-Remote<div><div><div>Avantus offers competitive compensation with an excellent benefits package, including 401(k) matching; comprehensive medical and dental plan options; and flexible PTO.
