About the team
The team manages the legal work for all of CDP’s commercial functions, as well as providing support to the Grant and Thought Leadership teams, working with colleagues across the globe. The team has a broad and varied workload, providing templates for all CDP’s standard commercial agreements, reviewing any exceptions, and preparing bespoke agreements as required.
The team typically works in the London office on Tuesdays and Thursdays but there is some flexibility.
About the Role
This role is to provide maternity cover for the Senior Legal Counsel, Commercial. It involves the provision of expert legal advice and support on commercial matters for CDP’s operations, primarily across the UK, US, APAC and LatAm.
As the Senior Legal Counsel, Commercial (Interim) , you will:
Draft, review and negotiate a wide variety of commercial contracts (e.g. terms & conditions, supply chain contracts, data licences, other services agreements, NDAs, MOU and partnership agreements), and grant and sub-grant agreements.
Help to build and refine processes for the efficient provision of advice to colleagues across the organisation, including in particular through improving existing templates and developing new ones and providing training to colleagues outside the Legal team.
Advise on other legal issues, including instructing and working with external counsel on specialist areas as necessary.
Any other duties and responsibilities reasonably required that are commensurate to the role.

You will have the following skills and experience:
Qualified as a solicitor in England and Wales, +6 PQE (note, PQE is used to indicate experience, it is not a mandatory requirement).
Significant expertise in commercial law, including data licensing, contract negotiation and intellectual property law.
Strong knowledge of legal frameworks in the UK, particularly in commercial and contract law.
Be an excellent communicator, able to navigate high levels of detail and deliver clear, succinct messages whilst navigating ambiguity with ease.
Ability to work independently, be organised and methodical and able to deliver against a varied workload, managing competing priorities under your own initiative, with autonomy in a fast-paced environment.
Be adept at dealing with challenges and disputes in a positive and efficient way without losing sight of business goals.
Strong analytical and problem-solving skills, with a pragmatic approach to legal and compliance issues.
Resilient, flexible and calm under pressure.
High integrity and commitment to ethical standards aligned with CDP’s mission and values.
Desirable:
•\tIn-house experience in a data-driven company is highly desirable
•\tInterest in environmental/sustainability issues
•\tExperience or knowledge of Financial Services industry
•\tExperience in the environmental or non-profit sector.
•\tKnowledge of commercial or intellectual property law in US or other jurisdictions outside the UK
