We all take initiative and remain adaptable, overcoming obstacles by prioritizing respect.</div>Position DescriptionOrigis Energy is seeking a midlevel attorney with 5+ years of experience in renewable energy project finance, with a strong emphasis on reviewing and negotiating lending agreements with financial institutions and tax equity agreements. The Senior Counsel position, reporting to the General Counsel, will play a critical role in supporting Origis’ Capital Markets team to ensure timely and efficient execution of financing transactions that enable the company to meet its project build schedules.This is a regular, full-time position and is eligible for our generous employee benefits package, including employer-paid health insurance, paid time off, a 401(k) plan with employer matching contributions, and other great benefits.Key Responsibilities<ul><li>Review, negotiate, and draft credit agreements, collateral packages, intercreditor agreements, tax equity agreements, tax credit transfer agreements, and related project finance documentation.</li><li>Collaborate closely with the Capital Markets (Project Finance) team to support debt and tax equity financing efforts across solar and energy storage projects.</li><li>Manage and coordinate with external counsel to manage transaction flow and ensure cost-effective legal support.</li><li>Help ensure financing transactions are executed on schedule to support project development and construction timelines and commercial operations.</li><li>Advise internal stakeholders on legal risks, lender requirements, and compliance obligations associated with financing structures.</li><li>Prepare summaries of key deal terms and risk factors for the General Counsel and other senior leadership.</li><li>Support broader legal team on cross-functional matters including M&amp;A, corporate governance, and other legal matters as needed.</li></ul>Preferred Qualifications<ul><li>5+ years’ experience in project finance, banking, or structured finance, with a focus on energy infrastructure or renewable energy.</li><li>Strong understanding of debt financing structures (including construction, bridge and term loans), tax equity structures, lender and investor expectations, and market-standard terms.</li><li>Prior in-house or law firm experience preferred, especially in energy, infrastructure, or financial services sectors.</li><li>Prior experience with energy M&amp;A transactions will be considered a plus.</li><li>Experience negotiating complex financial and commercial agreements under tight deadlines.</li><li>JD and current member in good standing of at least one state bar.</li></ul>Key Attributes for Success<ul><li>Ability to balance legal risk with business priorities in a fast-paced environment.</li><li>Proven ability to collaborate across legal, finance, and executive teams.</li><li>Familiarity with renewable energy project development and financing.</li><li>Proactive, solution-oriented mindset with strong attention to detail.</li><li>Excellent written and verbal communication skills.</li><li>Strong organizational and multitasking abilities.</li></ul>Location: Strong preference for hybrid from Miami, FL  or Austin, TX offices; Greater NYC area; Remote will be considered for highly qualified candidates with the ability to travel regularlyTravel: Up to 10% travel required as necessary.Job Level: Director – no direct reports<div>Origis Energy is an Equal Opportunity Employer (EOC).
