Our team looks for data-driven and fact-based mindsets, engaging and collaborative behaviors, and personal growth-focused professionals.     In order for the global energy system to make the transition from a carbon-based grid, to a renewable energy grid, large scale energy storage must be introduced into the electricity system to balance intra-hour supply and demand.  Energy storage is the enabler of high penetration variable renewable generation like solar and wind. We are looking for an Associate General Counsel, Origination &amp; Commercial to join the Legal Team (with a cross-functional relationship to the Origination &amp; Commercial Team).  This qualified individual will work under the guidance of the General Counsel and provide legal advice/support to the Origination &amp; Commercial Team with respect to utility-scale standalone storage projects across North America.  Key Responsibilities <ul><li>Partner with Origination and Commercial Team in negotiation of offtake agreements, including tolling agreements and other structured offtake   </li><li>Support the Origination and Commercial Team in conducting due diligence and negotiations on M&amp;A opportunities  </li><li>Support the Origination and Commercial Team in reviewing request for proposals and developing comprehensive bid submittals, including markups of key agreements  </li><li>Function as an internal quarterback for offtake transactions, soliciting feedback and review of documents from subject matter experts and incorporating feedback into the deal structure and documents   </li><li>Support the Finance Team (in conjunction with the Origination and Commercial Team) to provide commercial inputs/deliverables in connection with project finance transactions  </li><li>Oversee Outside Counsel on select transactions and assist in the selection of such outside counsel  </li></ul>Skills &amp; Qualifications <ul><li>J.D., Required  </li><li>Minimum 3-4 years of top-tier law firm experience working with (renewable) energy project development  </li><li>At lease 1-2 years of in-house legal experience with a renewable energy/standalone energy storage developer or investor-owned utility, focusing on resource procurement and M&amp;A preferred </li><li>Experience leading negotiations of power purchase agreements   </li><li>Experience structuring and negotiating project-scale M&amp;A transactions  </li><li>Knowledge of project finance structures and implications on project development/M&amp;A transactions  </li><li>Strong business acumen with excellent commercial judgment </li><li>Highly organized with impeccable attention to detail  </li><li>Ability to effectively manage multiple priorities and deliver timely, high-quality results  </li><li>A collaborative, entrepreneurial, and inquisitive mindset </li><li>Ability to effectively use Microsoft Office products – Word, Excel, Power Point </li><li>Demonstrated ability to work collaboratively and effectively in a cross-functional environment with both technical and non-technical team members who are geographically dispersed </li></ul> Compensation, Location, and BenefitsHighly competitive total compensation from one of North America’s leading energy storage developers, owners and operators.
