Job DescriptionThe paralegal/legal analyst will be a member of the Real Estate Group’s funds team responsible for global fund legal operations and will support the legal team.Responsibilities: <ul><li>Manage the corporate entity database, including initial entries and the bi-annual ownership attestation process, and assist in all other entity maintenance protocols</li><li>Manage the legal document system and maintain organization of all legal documents</li><li>Assist with U.S. and other jurisdictional entity formations and state qualifications, if required, and the dissolution of entities</li><li>Apply for Employee Identification Numbers for domestic and foreign entities and Global Intermediary Identification Numbers, if required</li><li>Prepare tax forms (W-8s/W-9s)</li><li>Assist with bank account openings and onboarding entities with the fund administrator and other service providers</li><li>Assist with filings required under U.S. securities laws</li><li>Advise registered agent of any entity formations, name changes, conversions and dissolutions</li><li>Draft initial operating agreements, resolutions and internal loan documents  </li><li>Respond to internal and external requests for information for KYC and other purposes </li><li>Assist in preparing and maintaining structure charts</li><li>Maintain D&amp;O registers</li><li>Assist in annual processes, ad hoc projects and corporate governance matters generally</li></ul>Qualifications:<ul><li>Bachelor’s degree required</li><li>Minimum of 2-3 years of experience</li><li>Exceptional attention to detail</li><li>Strong organizational, project and time management skills</li><li>Excellent interpersonal, written and verbal skills</li><li>Proficiency in Microsoft Word, Excel, PowerPoint and PDF</li><li>Fast learner with the ability to multi-task effectively while managing a robust workload in a fast-paced environment</li><li>Experience with Diligent corporate database (fka Blueprint) and/or iManage document management system a plus</li><li>Willingness to travel to Toronto a few times per year</li></ul>#LI-CL2Salary Range: $90,000 - $115,000Our compensation structure is comprised of a base salary and a short-term incentive program (cash bonus). Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive.
