Legal Counsel / Contract Manager (part-time, contract)

Working to solve our climate crisis is the most important mission of our time, and the most exciting problem to be working on. In our first step toward this mission, we are applying machine learning to satellite imagery to track forests and vegetation, helping to reduce the risk of wildfires and power outages.

We’re looking for a (part-time) legal counsel to strengthen our commercial team and help Overstory grow and thrive. You will work closely with sales as well as the leadership team to ensure sound contracting with customers and partners. You will combine your legal knowledge and business mindset to drive results. 

What you'll do

• Manage, draft, negotiate and document all forms of company contracts, including but not limited to SaaS agreements, NDAs, partner agreements and vendor agreements.
• Negotiate directly with the legal and procurement teams of our enterprise customers.
• Be a trusted legal advisor, understanding how to balance risks and provide advice to sales and leadership.
• Help develop and implement standard templates, improve documentation and processes.

About you

• You are licensed in the US with approximately 5 years experience negotiating agreements in a (Seed to Series B) startup environment.
• You have experience with drafting, negotiating and advising on commercial contracts.
• Technology/software contracts, especially SaaS contracts, are your thing. Ideally you have experience in a machine learning / AI context.
• You have plenty of experience with IP law.
• You are business-minded and are able to provide sound legal advice with business and commercial perspectives taken into account.
• You take ownership, initiative and will have a great deal of autonomy and responsibility in this role.
• Experience working directly with clients/customers and internal sales teams.
• You love working in a fast-moving environment.

About our team

We are a group of 34 people from all over the world. Eleven nationalities are represented in our team. We work remotely from seven different countries and occasionally (optionally!) meet up for in-person collaboration.
