SR400 Peach Partners Consortium is looking for a Legal Manager to provide legal advice to the company on a wide variety of matters, including corporate, project and financial. Legal Manager reviews, drafts, and negotiates organizational, project and loan documents, analyzes applicable local, state and federal laws, and consults as necessary with outside counsel in advising the CEO and other management of the company.

Job Description

Coordinate, programme and implement the projects he/she leads within his/her functional area/department, based on the standards and procedures set forth, with the aim of optimising the profitability of assigned projects while ensuring lead times and established quality standards.

Responsible for managing each service associated with the asset鈥檚 operation.
Coordinate the Quality and Environment, Safety and ORP areas.

Essential Duties and Responsibilities:

  • Manage corporate matters, including service as Corporate Secretary of the Board of Managers

  • Maintain corporate records and any related legal documents to provide legal protection to the organization

  • Review, prepare and/or negotiate various service contracts, leases, commercial agreements, and purchase orders

  • Review, prepare and negotiate amendments and change orders to the governing contractual agreements with the Georgia Department of Transportation, the design-build contractor, the IQF, the System Integrator contractor and Back Office provider

  • Manage and oversee legal issues associated with the acquisition of right-of-way through eminent domain, up to and including condemnation litigation

  • Advise management concerning compliance, including matters of contractual obligations, financial covenants, ethics policies, and other applicable laws, rules, and regulations 

  • Implement, maintain and monitor policies and procedures designed to ensure compliance with all laws (including Anti-Corruption Laws), regulations, and sponsor's business practices.

  • Develop and/or maintain the Risk Register.

  • Manage customer claims and all litigation handled by outside counsel

  • Review and analyze relevant legislation and its potential impacts on the company current and future assets and business prospects in Georgia.

  • Manage and oversee legal issues associated with the collection processes.

  • Manage and oversee property damage claims.

  • Work with the management team to develop a strategy and process to deliver a quality Project on time and to manage the short- and long-term risks.

  • Provide input into monthly reports for presentation to the Board, covering key commercial issues and provide timely and accurate commercial information and reports to the management team and shareholders in agreed format(s).

Education & Experience:

  • Law degree (J.D.) is required

  • Georgia Bar License is preferred

  • Law firm and corporate in-house experience required

  • 10+ years or more of transactional legal experience, ideally with experience in the transportation infrastructure industry

  • Must effectively manage tasks and deadlines in an independent manner

  • Ability to interact with colleagues in a self-managed team structure

  • Superior interpersonal communication, decision-making, project management and negotiation skills

  • Ability to confidently interact with colleagues and executive level employees in a self-managed team structure

  • Must be able to multitask, problem-solve, prioritize, and implement innovative processes within a fast-paced environment

Computer Skills:

  • Must be able to demonstrate computer proficiency, especially within Microsoft Excel, Word, and PowerPoint, as well as PC based programs
