This role will be a hybrid position out of our San Francisco office 2-3 days a week.&nbsp;&nbsp;Responsibilities&nbsp;<ul><li>Draft, negotiate and close complex project agreements including leases, power purchase agreements, equipment procurement and warranty agreements, construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, and filings/applications to local, state, and federal agencies (including FERC)</li><li>Coordinate with commercial teams to ensure project agreements are financeable</li><li>Perform diligence activities related to closing transactions, including responding to inquiries from lenders and financing parties</li><li>Review, negotiate and close MIPAs, debt and tax equity agreements</li><li>Advise and counsel capital markets and finance teams on risks associated with financing and M&amp;A transactions and develop mitigation strategies</li><li>Manage corporate approvals and disclosures, including drafting resolutions, operating agreements, and affiliate agreements, and coordinating with executive and board stakeholders for approvals.</li><li>Advise on the implementation and impact of federal legislation (e.g., Inflation Reduction Act and The One Big Beautiful Bill Act) on project finance transactions, including coordinating closely with business teams to implement such legislation and regulations related to project finance transactions (e.g., transferability, ITC adders, FEOC provisions).</li><li>Manage pre-litigation risks, and if litigation arises, develop litigation strategies to resolve disputes.</li><li>Manage outside counsel to ensure efficient and effective completion of tasks</li><li>Partner with corporate legal and senior management to align on project requirements, maximize value, and manage risk</li><li>Assist with maintenance of contract database</li></ul> Minimum Qualifications<ul><li>Law degree (J.D.) and admission in California&nbsp;</li><li>8+ years of experience as a lawyer in the renewable space, including specific legal knowledge and experience in solar C&amp;I matters&nbsp;</li><li>Recent experience in development, construction, and financing of power facilities or infrastructure for an energy project developer or energy company&nbsp;</li><li>Ability to identify risks and propose solutions&nbsp;</li><li>Ability to handle multiple projects and thrive in a dynamic team environment&nbsp;</li><li>Proficient in Windows environment, MS Office, Outlook, Excel; technically savvy</li></ul> Desired/Preferred Qualifications<ul><li>Experience as in-house counsel preferred but not required.&nbsp;</li><li>Training with top-tier law firm preferred</li></ul> Characteristics Necessary for Success&nbsp;<ul><li>Proactive and solution-oriented</li><li>Ability to work independently with minimal oversight while influencing cross-functional teams&nbsp;</li><li>Personal accountability and integrity&nbsp;</li><li>Ability to make informed decisions quickly and navigate complexity&nbsp;</li><li>Comfortable in a fast-paced, evolving environment&nbsp;</li><li>Positive, collaborative attitude and ability to mentor others&nbsp;</li><li>Interest in shaping legal strategy and driving process improvements</li></ul>&nbsp;Salary/CompensationThe salary range is between $175k - $275k. In addition to base salary, this role includes a corporate bonus.
